Revised Cycling Ireland Constitution


Following the presentation of a new set of Articles of Association for Cycling Ireland at the 2016 AGM, the revised constitution was examined by the revenue offices and some additional amendments were necessary to meet current Revenue requirements. These technical changes are the only difference in the articles presented and approved by the members at the 2016 Cycling Ireland AGM held in Limerick. The changes are;

  1. Amended Clause 3 to read “The main object for which the Company is established is to encourage, develop and organise cycling on the island of Ireland including but not exclusively racing and leisure cycling”.

  1. Added additional clause 5 (o), “to carry on any activity or business which may in the opinion of the Directors be advantageously carried on by the Company in pursuance of the Main Object”.

  1. Renumbered the subsidiary objects clause as clause 4. Renumbered the subsidiary objects as (a) to (f).

  1. Renumbered the powers clause as clause 5. Renumbered the powers as (a) onwards.

  1. Amended “objects” to “main object” throughout the powers.

  1. Renumbered the Income and Property clause as clause 6 and renumbered all remaining clauses.

  1. In the Income and Property clause amended sub-clause (b) in line with sub-clause (b) of the attached income and Property clause.

  1. In the Winding Up clause amended “objects” to “main object”. Amended “clause 3 hereof” to “”the Income and Property clause hereof”. Added “Final accounts will be prepared and submitted to Revenue that will include a section that identifies and values any assets transferred along with the details of the recipients and the terms of the transfer”.

  1. Amended the existing clause 7 to the Amendments clause as per the attached.

  1. The Keeping of Accounts clause, previously clause 74(c) in the Articles was inserted into the Memorandum as a new clause.

  1. In clause 2 of the Articles added”, but shall be not less than 3”.
